End User License Agreement (EULA)
ClientWorX CounterTraX - End User License Agreement Version 1.0 1. General 1.1 Definitions This agreement governs your use of the ClientWorX services (the "Service"), including any interactive chat and discussion areas (the "Forums"), which is operated by ClientWorX ("ClientWorX"). Additional terms and conditions of use applicable to specific areas of the Service may also be posted in such areas and, together with this agreement, govern your use of those areas. This agreement, together with any such additional terms and conditions, are referred to as this "Agreement." 1.2 ClientWorX reserves the right, in its sole discretion, to change or modify all or any part of this Agreement at any time, effective immediately upon notice published on the Service. Your continued use of the Service constitutes your binding acceptance of these terms and conditions, including any changes or modifications made by ClientWorX as permitted above. If at any time the terms and conditions of this Agreement are no longer acceptable to you, you should immediately cease all use of the Service. 1.3 We also reserve the right, in our sole discretion, to restrict, suspend or terminate your access to all or any part of the Service at any time for any reason without prior notice or liability. We may remove any material that you submit to the Service for any reason without prior notice to you. We may change, suspend or discontinue all or any aspect of the Service at any time, including the availability of any Service feature, database, or content, without prior notice or liability. You will not be entitled to a refund during service outages that are caused by our maintenance on the servers or the technology that underlies the Service, failures of our service providers (including telecommunications, hosting and power providers) computer viruses, natural disasters or other destruction or damage of our facilities, an act of God, war, civil disturbance or other cause beyond our reasonable control. 2. Use of Content 2.1 You acknowledge that the Service contains information, software, photographs, audio and video clips, graphics, links and other materials (collectively, the "Content") that are protected by copyright, trademark or other proprietary rights of ClientWorX or third parties. All Content on the Service is copyrighted as a collective work of ClientWorX pursuant to applicable copyright law. You agree to comply with any additional copyright notices, information, or restrictions contained in any Content available on or accessed through the Service. Users of the Service may use the Content only for their personal, non-commercial use. 2.2 You may not modify, publish, transmit, transfer or sell, reproduce, create derivative works from, distribute, perform, display, or in any way exploit any of the Content, in whole or in part, except as expressly permitted in this Agreement. Content consisting of downloadable software may not be reverse engineered unless specifically authorized by the owner of the software's patent and/or copyright. You may post on the Service any Content owned by you (such as your original statements), Content for which you have received express permission from the owner and Content in the public domain. You assume all risk and responsibility for determining whether any Content is in the public domain. You grant to ClientWorX the right to edit, copy, publish, distribute, translate and otherwise use in any medium any Content that you place on the Service without compensation to you. You represent and warrant that you are authorized to grant all rights set forth in the preceding sentence. 2.3 You may download or copy the Content only for your own personal use, provided that you maintain all copyright and other notices contained in such Content. You shall not store electronically any significant portion of any Content. Except as expressly permitted by the copyright laws, no copying, storage, redistribution or publication of any Content is permitted without the express permission of ClientWorX or the owners of such Content or their authorized persons, if other than ClientWorX. You may download from the Service any Content in the public domain for your own personal use or for non-commercial redistribution. 3. Rules of Conduct 3.1 By posting messages, inputting data, or engaging in any other form of communication through the Service, you are granting us permission to use, modify, distribute, transmit, publicly display, publicly perform, reproduce, publish, sublicense, create derivative works from, transfer, or sell any such communication and sublicense to third parties the unrestricted right to exercise any of the foregoing rights granted with respect to your communication. 3.2 The Service may contain bulletin board services, chat areas, news groups, forums, communities and/or message or communication facilities (collectively, the "Forums"). You agree to use any Forum only to send and receive messages and material that are proper and related to that particular Forum. Without limiting the foregoing, you agree that you will not (i) defame, abuse, harass, stalk, threaten or otherwise violate the legal right of others; (ii) publish, post, upload, distribute or disseminate any inappropriate, profane, defamatory, infringing, obscene, indecent or unlawful topic, name, material or information; (iii) upload files that contain viruses, corrupted files, or any other similar software or programs that may damage the operation of another person's computer; (iv) advertise or offer to sell any goods or services for any commercial purpose; (v) conduct or forward surveys, contests, pyramid schemes or chain letters; (vi) download any file posted by another user of a forum that you know or reasonably should know, cannot be legally distributed in such matter; (vii) falsify or delete any author attributions, legal or other proper notices or proprietary designations or labels of the origin or source of software or other material contained in a file that is uploaded; or (viii) restrict or inhibit any other user from using and enjoying the forum. We reserve the right to terminate your access to any or all of the forums at any time without notice for any reason whatsoever. 3.3 If, in our sole discretion, you choose a username that is obscene, indecent, abusive or which might otherwise subject ClientWorX to public disparagement or scorn, we reserve the right, without prior notice to you, to automatically change your username, delete your posts from the Forums, deny you access to the Forums, or any combination of these options. If you continue to choose usernames that we find objectionable, we reserve the right to permanently terminate your access to the Forums, the Service or both. 3.4 You will not use the Service for illegal purposes. Use of the Service is subject to existing laws and legal process, and nothing contained herein shall limit our right to comply with governmental, court and law enforcement requests or requirements relating to your use of the Service or information provided to or gathered by us with respect to such use. 3.5 You agree to remove the custom HTML and JavaScript code we provided for your web site from ALL of your web site pages and discontinue using the Service within 48 hours if instructed to do so by ClientWorX or upon termination of your account with us. You agree to install our custom HTML and JavaScript code on the web site that was signed up and absolutely no other web site. You agree to immediately remove the custom HTML and JavaScript code from any other web site except for the site that was signed up. 3.6 ClientWorX accepts no responsibility for any degradation in the performance of any web page containing our custom HTML and JavaScript code. 3.7 ClientWorX can not be held responsible for data loss or server downtime. ClientWorX can not be held responsible for interruptions in the Service. 3.8 You agree to keep your master login ID and password private and secure at all times. You agree not to give anyone else access to your master login ID and password. ClientWorX reserves the right to change or disable your access to the secure areas of our servers at any time without notice. 4. Managing Content ClientWorX does not and cannot review all the Content posted by users on the Service and is not responsible for such Content. However, ClientWorX reserves the right to delete, move or edit any Content (including Content posted in any Forums) that it may determine, in its sole discretion, violates this Agreement or is otherwise unacceptable. You shall remain solely responsible for all Content posted by you. ClientWorX shall have the right, but not the obligation, to correct any errors or omissions in any Content, as it may determine in its sole discretion. 5. No Endorsement 5.1 ClientWorX does not represent or endorse the accuracy or reliability of any Content posted on any Forums and you acknowledge that any reliance upon such Content shall be at your sole risk. Any Content placed on any Forum by users are the views of the user posting the statement, and do not represent the views of ClientWorX. 5.2 The Service may contain links to sites on the Internet which are owned and operated by third parties (the "External Sites"). You acknowledge that ClientWorX is not responsible for the availability of, or the content located on or through, any External Site. You should contact the site administrator or Webmaster for those External Sites if you have any concerns regarding such links or the content located on such External Sites. We have no control over such third party sites and we are not responsible for any changes to any third party site or for the contents of any third party site, including, without limitation, any links that may be contained in such a site. Our inclusion of any link to a third party site is not an endorsement of that site. 6. Indemnity You hereby agree to indemnify, defend and hold ClientWorX, and all of its officers, directors, owners, agents, information providers, affiliates and licensors (collectively, the "ClientWorX Parties") harmless from and against any and all liability, losses, costs and expenses (including attorneys' fees) (collectively, the "Losses") incurred by any ClientWorX Party in connection with any claim arising out of any use or alleged use of your account or password by any person, whether or not authorized by you. In addition, you agree to indemnify, defend and hold all ClientWorX Parties harmless from and against any and all Losses incurred by any ClientWorX Party in connection with any claim arising out of the contents of the material that you submit to the Service, including, but not limited to, claims for defamation, violation of rights of publicity and/or privacy, copyright infringement, trademark infringement and any claim or liability relating to the content, quality, or performance of materials that you submit to the Service. We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, and in such case, you agree to cooperate with our defense of such claim. 7. DISCLAIMER OF WARRANTIES; LIMITATION OF LIABILITY. 7.1 WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE. IN ADDITION, WE DO NOT MAKE ANY WARRANTY AS TO THE RESULTS TO BE OBTAINED FROM USE OF THE SERVICE OR THE CONTENT. THE SERVICE AND THE CONTENT ARE DISTRIBUTED ON AN "AS IS, AS AVAILABLE" BASIS. ANY MATERIAL DOWNLOADED OR OTHERWISE OBTAINED THROUGH THE SERVICE IS DONE AT YOUR OWN DISCRETION AND RISK, AND YOU WILL BE SOLELY RESPONSIBLE FOR ANY POTENTIAL DAMAGES TO YOUR COMPUTER SYSTEM OR LOSS OF DATA THAT RESULTS FROM THE DOWNLOAD OF ANY SUCH MATERIAL. WE DO NOT MAKE ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, WARRANTIES OF TITLE OR IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE, WITH RESPECT TO THE SERVICE, ANY CONTENT OR ANY PRODUCTS OR SERVICES SOLD THROUGH THE SERVICE. YOU EXPRESSLY AGREE THAT YOU WILL ASSUME THE ENTIRE RISK AS TO THE QUALITY AND PERFORMANCE OF THE SERVICE AND THE ACCURACY OR COMPLETENESS OF ITS CONTENT. WE SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL OR CONSEQUENTIAL DAMAGES ARISING OUT OF THE USE OF OR INABILITY TO USE THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. SOME STATES DO NOT ALLOW EXCLUSION OF IMPLIED WARRANTIES OR LIMITATION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATIONS OR EXCLUSIONS MAY NOT APPLY TO YOU. IN SUCH STATES, THE LIABILITY OF CLIENTWORX, THIRD PARTY CONTENT PROVIDERS AND THEIR RESPECTIVE AGENTS SHALL BE LIMITED TO THE GREATEST EXTENT PERMITTED BY LAW. 7.2 NEITHER CLIENTWORX NOR ANY THIRD PARTY CONTENT PROVIDER WARRANTS THAT ANY FILES AVAILABLE FOR DOWNLOADING THROUGH THE SERVICE WILL BE FREE OF VIRUSES OR SIMILAR CONTAMINATION OR DESTRUCTIVE FEATURES. YOU EXPRESSLY AGREE THAT THE ENTIRE RISK AS TO THE QUALITY AND PERFORMANCE OF THE SERVICE AND THE ACCURACY OR COMPLETENESS OF THE CONTENT IS ASSUMED SOLELY BY YOU. 7.3 ClientWorX does not represent or warrant that materials obtained from this site are without error or otherwise are accurate, complete, reliable, or current. Materials, including documents and graphics, contained in this site may include technical inaccuracies, omissions, or other errors. ClientWorX reserves the right to change any and all content contained in its web site at any time without notice. 8. Miscellaneous This Agreement shall be construed in accordance with the laws of the State of Florida, and the parties irrevocably consent to bring any action to enforce this Agreement in the federal or state courts located in Palm Beach County, Florida. This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof, and supersedes all previous written or oral agreements between the parties with respect to such subject matter. If any part of these Terms is determined to be invalid or unenforceable pursuant to applicable law, then the invalid or unenforceable provision will be deemed superseded by a valid, enforceable provision that most closely matches the intent of the original provision and the remainder of the Terms shall continue in effect.
